Terms and Conditions
1: Limitation of Liabilities: In no event will Centric RF be held liable for incidental, direct, indirect, special, exemplary, or consequential damages. Customer shall indemnify and hold harmless Centric RF and its officers from such damages. Buyer's exclusive remedy against Seller for any reason, whether due to performance, negligence, or defects shall be the repair, replacement, or return for credit of such goods, at the Sellers option.
2: Prices: Prices are subject to change without notice. Prices are exclusive of any other taxes and or fees resulting from purchase of the Centric RF products. Prices are FOB Allen TX unless otherwise agreed upon in writing. Prices do not include any freight, insurance, duties, taxes, or extra fees unless specifically quoted and agreed to.
3: Sales Tax: Sales Tax is collected & sent to individual states as required. The states who we collect sales tax for is rapidly changing due to the Wayfair vs South Dakota Supreme Court decision. In states we don't collect for, there may be obligations for the buyer to remit sales tax, the buyer is responsible for these taxes.
4: Warranty: All Centric RF products are covered by a 1 year limited warranty from date of shipment. This warranty is limited to 1: replacement of the product, or 2: repair of the product, or 3: credit for the purchase price of the product. Subjecting any part to conditions outside of the part specifications will void the warranty, including but not limited to excess voltage, power, current, torque, mechanical abuse, mechanical shock, or thermal shock. Custom Cable orders are non-creditable and non-refundable.
5: Export Control: Customer agrees that Centric RF products are subject to US export laws and customer agrees to comply with all such laws. including but not limited to the regulations of ITARS, Department of Commerce, US Customs and Border Protection, US Department of State and the US Department of the Treasury.
6: Technical opinions from Centric RF are provided as a service only, and customer agrees to indemnify Centric RF from any damages resulting from such opinions.
7: Intellectual property: Centric RF drawings, text, images, logos, digital images, the Centric RF website, and any Centric RF digital content are proprietary to Centric RF and shall not be used for any purpose -other than for the purchase of Centric RF products - without written authorization from Centric RF. Centric RF Intellectual property is protected by, but not limited to, US Copyright laws, Trademark laws, & IP laws. Website users agree not to access the website with crawlers or other data harvesting techniques.
8: Force Majeure: Centric RF shall not be liable for damages due to circumstances beyond its control, such as flooding, fire, unforeseeable disruption of supplies, or other Acts of God, etc.
9: Acceptance of orders: All orders are subject to acceptance by Centric RF in writing.
10: Cancellations and Rescheduling: All sales are final and may not be cancelled or rescheduled unless agreed to by Centric RF in writing.
11: Returns: Goods may be returned only with the prior written authorization of the Seller in its sole discretion; usually only unopened and unused parts will be accepted for return. An RMA number will be assigned to the Buyer by the Seller & must be used when returning the product. Any goods so returned shall be subject to a 25% restocking fee. Shipping charges are nonrefundable.
12: Shipment, Risk of Loss, and Ownership: Risk of loss transfers to the customer upon delivery to the freight forwarder. Customer is responsible for all insurance, duties, and custom charges. Ownership of product transfers to the buyer upon shipment from Allen Tx.
13: Severability: Each Provision in the Terms and Conditions, if found to be invalid or unenforceable, is severable from the others. The other Provisions will survive and continue.
14: Specifications: Specifications are subject to change without notice.
15: Payment: All payment will be made in US dollars. Payment may be made by wire transfer, approved credit cards, or terms if granted by Centric RF to the customer.
16: Discontinuation of Products: Centric RF reserves the right to discontinue products without notice.
17: General: These terms and conditions may not be modified without Centric RF’s written agreement. The jurisdiction for any legal disputes will be Collin County, Texas."
18. Indemnification: The Seller shall indemnify Centric RF against all liability that may result from any claim or suit, based on any damage or injury that may occur or alleged to have occurred by the Seller; in the course of performance of this contract by the Seller.
